Elliott Associates, L.P. and funds under common management ('Elliott' or 'we') are a meaningful shareholder of Republic Services, Inc. ('Republic' or the 'Company'). ('WMI') to acquire Republic for $37.00 per share as one that does not constitute, and could not reasonably be expected to lead to, a transaction that is more favorable to Republic stockholders than the merger currently contemplated between Republic and Allied Waste Industries, Inc. ('Allied')
